Mandala Finance Terms of Use
Version: 2026-10-02 · Effective date: 2 October 2026
These Terms of Use (the “Terms”) are a legally binding agreement between you and MANDALA CHAIN INC., a corporation incorporated under the laws of the Republic of Panama, wholly owned by Mandala Chain Foundation (“Operator,” “Mandala,” “we,” “us” or “our”).
These Terms govern your access to and use of the Mandala Finance websites and application at mandala.finance, app.mandala.finance, and any successor address that we expressly identify (together, the “Interface”). Please read them carefully before using the Interface.
1. Parties and definitions
“Affiliate” means a person that directly or indirectly controls, is controlled by, or is under common control with another person. “Control” means the power to direct that person’s management or policies through ownership, voting rights, contract or otherwise.
“Business User” means a person using the Interface wholly or mainly for a trade, business, craft or profession.
“Consumer” means an individual using the Interface wholly or mainly outside that individual’s trade, business, craft or profession. Whether applicable mandatory law treats a person as a consumer is determined by that law and not solely by this definition.
“Foundation” means Mandala Chain Foundation, a Panamanian private interest foundation. The Foundation owns the Operator and is the issuer and treasury administrator of KPG. It does not operate the Interface, is not a party to these Terms, and is not beneficially entitled to Mandala Fees merely because it owns the Operator. Any dividend or other shareholder distribution by the Operator is a separate corporate action.
“KPG” means the token identified as KPG in the Foundation’s then-current official token documentation at https://docs.mandalachain.io/.
“Mandala Fees” means a wrapper fee, native-pool protocol share or other Interface charge beneficially payable to the Operator, whether received directly or collected by a disclosed collection agent solely for the Operator. Mandala Fees exclude amounts retained solely by unaffiliated venues or liquidity providers, blockchain network fees, price impact and slippage.
“Protocols” means the independently executing smart contracts and blockchain systems with which the Interface enables a user to interact, including the contract addresses identified in the Interface and in the transaction presented to your wallet.
“Protected Parties” means the Operator, the Foundation, their respective directors, officers, council members and employees, and the Operator’s authorised contractors, licensors and service providers, but only where a provision expressly grants the relevant person a protection. Inclusion in this definition does not make any person an operator, contracting party, fiduciary, controller of personal data, fee beneficiary, partner or agent except to the extent expressly stated in these Terms or separately agreed in writing.
“Restricted Person” means a person who is: (a) named on an applicable sanctions or asset-freeze list; (b) owned or controlled by, or acting for or on behalf of, such a person to the extent provided by applicable Sanctions; or (c) otherwise a person with whom providing the Interface or dealing in property is prohibited by applicable Sanctions.
“Restricted Territory” means a country, region or territory in which providing the Interface is prohibited by applicable Sanctions or that we identify as unavailable for legal, regulatory or risk reasons in Schedule 1 to these Terms, as updated from time to time.
“Sanctions” means applicable economic or financial sanctions, trade embargoes and asset-freezing laws administered or enforced by a competent authority, including the United Nations Security Council, the United States (including the Office of Foreign Assets Control), the United Kingdom, the European Union and its Member States, the Republic of Panama, and any other authority having jurisdiction over the relevant person or activity.
The Operator may use authorised contractors and service providers for development, infrastructure administration, support and marketing execution. Those providers do not provide the Interface to you, are not parties to these Terms and are not beneficially entitled to Mandala Fees merely because they perform services or administer a collection wallet for the Operator. A wallet, multisignature account or smart-contract address is not itself a legal person or contracting party.
2. Acceptance and eligibility
You accept these Terms by connecting a wallet and selecting the acceptance control presented by the Interface, signing an acceptance message where requested, or otherwise using the Interface after the Terms are presented in a manner that creates a valid agreement under applicable law. If you use the Interface for an organisation, you represent that you have authority to bind it; references to “you” then include that organisation.
You may use the Interface only if you:
- are at least 18 years old and at least the legal age of majority where you live;
- have legal capacity and authority to enter these Terms;
- are not a Restricted Person and are not located or ordinarily resident in a Restricted Territory;
- are not using the Interface for the benefit of a Restricted Person; and
- may lawfully access and use the Interface and acquire, hold, dispose of or transfer the relevant token in every jurisdiction that applies to you or the transaction.
You must not use a virtual private network, proxy, false information, wallet arrangement or other means to evade a legal, sanctions, geographic, eligibility or product restriction. These representations apply each time you request a quote, build or submit a transaction, submit content, create or promote a token, or otherwise use the Interface. You must stop using the Interface if they cease to be true.
We may screen wallet addresses, transactions, IP-derived location and other information reasonably available to us; request additional information; reject a request; restrict the Interface by person, wallet, token or location; and report or take other action when required by law. We need not disclose screening thresholds or information where doing so would be unlawful or undermine security. Screening does not certify that a person, wallet or transaction is lawful and does not transfer your legal responsibilities to us.
Restricting this Interface does not and cannot prevent a person from interacting independently with public blockchain software that we do not control.
3. Nature of the Interface
The Interface is software operated by the Operator. It requests and displays information from selected sources and helps you construct instructions for interacting with Protocols. The Operator may select or change the sources made available, set or change Mandala Fees, host and update the Interface, control access to features, and exercise disclosed administrative rights over certain Protocol contracts through authorised signers or multisignature wallets.
The Interface is non-custodial only in the limited sense that we do not hold your private keys and cannot sign a transaction for you. You decide whether to authorise a transaction through your wallet. Depending on the route, a smart contract may receive, route, deduct a fee from and forward tokens as part of an atomic transaction. This does not make the Operator your trustee, fiduciary, broker or agent unless applicable law provides otherwise.
Protocols execute on public blockchains. Once confirmed, a transaction is ordinarily irreversible. The Operator generally cannot cancel, reverse or recover a completed blockchain transaction. The Operator may, however, be able to modify or pause the Interface or exercise particular contract rights described in the applicable technical documentation.
Quotes and routes are estimates based on the sources available to the Interface at the relevant time. They are not quotes from every market and do not guarantee best execution, execution, price, liquidity, timing or outcome. Before signing, review the token, amount, recipient, route, price impact, slippage, approvals and fees displayed by your wallet and the Interface.
4. Fees and transaction costs
The current Mandala Fees and route-level costs are described in this Section 4 and, where applicable, displayed before you authorise a transaction. At the effective date of these Terms, the swap Interface charges a wrapper fee equal to 0.25% (25 basis points) of the output token for a swap routed through the Mandala fee wrapper. This is not the total cost of a transaction.
An external route may also charge a third-party venue or liquidity-pool fee. At the current settings, a Mandala-native V2 route costs approximately 0.55% before blockchain network fees, price impact and slippage: a 0.30% native-pool trading fee plus the 0.25% wrapper fee. While the native pool's recorded protocol-fee switch remains active, approximately one-sixth of fee-driven pool growth is realised later through liquidity-token mint mechanics for the Operator, economically described as about 0.05% protocol share and 0.25% liquidity-provider economics, not two separate per-swap transfers. Fees and route conditions may change, so review the fee display in the Interface and the transaction presented for signature.
Mandala Fees may be collected by a smart contract and paid to the Operator or to a disclosed collection agent acting solely for the Operator. The Operator remains beneficially entitled to Mandala Fees. Receipt or administration by an agent does not make that agent your contracting party or a fee beneficiary. The Foundation is not a transaction-level Mandala Fee beneficiary, and no contractor or service provider has beneficial entitlement to Mandala Fees merely by providing services or administering a collection wallet.
Authorised governance may change a Mandala Fee prospectively within the technical limits of the relevant contract. Where the transaction supports a signed maximum-fee parameter, the Interface will present the maximum wrapper fee you authorise and the transaction should revert if the wrapper fee at contract entry exceeds that maximum. If the fee display is unavailable or materially inconsistent with the transaction presented for signature, do not authorise the transaction and notify us.
Blockchain network fees are paid to the relevant network participants, not to the Operator. Price impact and slippage are transaction effects, not fees paid to the Operator. You are responsible for all transaction costs shown to you and for applicable taxes, duties and reporting obligations.
The launchpad is not currently available. A launchpad fee configured in a smart contract is not a current charge or an offer to provide a launch. Any future launchpad fee will be disclosed in the launch flow and governed by separate Issuer Terms before a launch is made available.
5. Protocol, token and blockchain risks
Digital assets, smart contracts and public blockchains involve substantial risk and may result in total loss. Risks include:
- volatile or manipulated prices, thin or unavailable liquidity, slippage and failed transactions;
- smart-contract defects, exploits, malicious tokens, counterfeit assets, approvals that permit token transfers, and compromised keys or wallets;
- forks, reorganisations, validator or sequencer failures, oracle errors, bridge failures, congestion, delayed confirmations and changing network rules;
- token mint, pause, freeze, blacklist, upgrade, governance and other administrative powers exercised by third parties;
- inaccurate, delayed or incomplete information from market-data, routing, node or other sources;
- changes in law, regulation, tax treatment, enforcement or access restrictions; and
- loss of access caused by forgotten credentials, device failure, phishing, malware or an unsupported wallet or network.
You are solely responsible for safeguarding your wallet, private keys, recovery phrase, devices and credentials. We will never ask for your private key or recovery phrase. Verify contract addresses and transaction details independently. A token’s display or availability through the Interface does not mean that we have endorsed, audited or approved it.
6. KPG and the Foundation
The Foundation, not the Operator, is the issuer and treasury administrator of KPG. KPG may be displayed, routed or otherwise available through the Interface on terms comparable to other supported assets, but that availability does not make the Operator the issuer or seller of KPG and does not make the Foundation the operator of the Interface.
The Foundation owns the Operator. This relationship creates a potential conflict of interest in decisions concerning KPG, including display, routing, liquidity, fees, communications and access. The Operator will identify material KPG-specific arrangements and conflicts in the applicable KPG documentation or Interface disclosure. You should assess KPG independently and not treat its relationship with the Operator as an assurance of legality, value, security, liquidity or performance.
KPG is governed by separate documentation issued by the Foundation at https://docs.mandalachain.io/. The Foundation’s handling of KPG-specific personal data is described in its own privacy notice, available through the Foundation’s official website at https://mandalachain.io. These Terms do not replace those documents.
7. Third-party protocols, services and content
The Interface may interoperate with or link to wallets, Protocols, networks, liquidity pools, bridges, token projects, market-data sources, block explorers, websites and other services that we do not control. Their own terms, fees and privacy notices may apply. We do not become responsible for a third party merely because its service is accessible through the Interface.
No Protected Party guarantees the availability, accuracy, security, legality, performance or continued support of a third-party service or token. We may add, restrict or remove an integration at any time, but are not obliged to monitor or maintain every third-party service.
8. No advice, recommendation or fiduciary relationship
The Interface and its general information are provided for informational and transactional-tool purposes. Except for a specific service invitation or transaction flow that the Operator expressly identifies and may lawfully make available, no general information is intended as an offer or solicitation by the Operator to acquire a token. Nothing provided through the Interface is legal, tax, investment, financial or accounting advice; a recommendation that a transaction or token is suitable; or a promise of profit, yield, value, liquidity or future performance. A label in these Terms does not determine whether applicable law treats a communication or activity as an offer, promotion or regulated service.
The Operator does not undertake to provide best execution, monitor your positions, assess suitability or act in your best interests. No fiduciary, advisory, brokerage, agency, partnership or joint-venture relationship arises merely because you use the Interface. Obtain independent professional advice where appropriate.
9. Your responsibilities and prohibited conduct
You are responsible for your use of the Interface, the transactions you authorise and compliance with applicable law. You must not:
- use the Interface for fraud, money laundering, terrorist financing, sanctions evasion, market manipulation, wash trading, unlawful gambling, intellectual-property infringement or any other unlawful purpose;
- attempt to interfere with, overload, disrupt, bypass or gain unauthorised access to the Interface, its controls, infrastructure or another user’s systems;
- introduce malware, exploit code or harmful data, or probe or test vulnerabilities except under an authorised security-disclosure program;
- scrape, copy or use the Interface in a way that materially burdens it, circumvents a technical restriction or violates another person’s rights;
- misrepresent your identity, authority, location, affiliations or the nature of a token or transaction;
- manipulate quotes, routes, oracle inputs, liquidity, volume, ranking or display; or
- use the Interface to create, promote or distribute unlawful, deceptive, infringing or malicious tokens or content.
You must promptly notify us by a private message to the Mandala team through the official Mandala channels: Discord (https://discord.gg/MwUQgQZgxm), X (https://x.com/MandalaChain) or Telegram (https://t.me/mandalachain). Ask for a private channel before sharing any personal details, and do not post vulnerability details publicly if you identify a material vulnerability or believe your use of the Interface has been compromised.
10. Intellectual property and licence
The Interface, including its design, text, graphics, compilation, software and branding, is owned by or licensed to the Operator and is protected by applicable intellectual-property laws. Open-source components remain subject to their applicable open-source licences, and third-party names and marks remain the property of their owners.
Subject to these Terms, the Operator grants you a limited, personal, revocable, non-exclusive, non-transferable and non-sublicensable licence to access and use the Interface for its intended lawful purpose. No other right is granted. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer or create derivative works from the Interface except to the extent an applicable open-source licence or non-waivable law expressly permits it.
“Mandala,” “Mandala Finance,” associated logos and other source identifiers may not be used in a way that suggests sponsorship, endorsement or affiliation without the relevant owner’s prior written permission.
If you voluntarily send general feedback about the Interface, you grant the Operator a perpetual, worldwide, non-exclusive, royalty-free right to use that feedback without identifying you or publishing confidential information. This does not apply to Creator Content, which is governed by Section 16.
11. Privacy
Our Privacy Notice at https://app.mandala.finance/privacy explains how the Operator handles personal data in connection with the Interface. It is a notice, not a request that you consent to every processing activity described in it. Third-party wallets, Protocols and services apply their own privacy notices.
The Foundation is a separate controller only for KPG-specific records it obtains or determines how to use. The Operator’s contracted service providers process Interface personal data only for the services described in the Privacy Notice and subject to the applicable data-protection arrangements. Further details appear in the Privacy Notice.
12. Warranties and disclaimers
To the maximum extent permitted by applicable law, the Interface is provided “as is” and “as available.” No Protected Party gives any express or implied warranty that the Interface or any related information, quote, route, Protocol, token or service will be uninterrupted, accurate, complete, current, secure, error-free, lawful in your jurisdiction, suitable for a particular purpose or free from harmful components. Any implied warranty that can lawfully be excluded is excluded.
Nothing in these Terms excludes a warranty, condition, statutory guarantee or other right that applicable mandatory law does not permit us to exclude. We do not disclaim responsibility to the extent a loss is caused by our own breach, negligence or unlawful conduct and applicable law does not permit that responsibility to be disclaimed.
13. Suspension, termination and changes to the Interface
We may suspend, restrict or terminate your access, or add, change or discontinue any part of the Interface, where reasonably necessary for security, maintenance, legal or regulatory compliance, sanctions controls, protection of users or third parties, service-provider failure, Protocol changes, or business-risk management. Where reasonably practicable and lawful, we will give notice of a material planned discontinuance.
You may stop using the Interface at any time. Termination does not reverse a confirmed blockchain transaction or affect accrued rights, outstanding obligations or provisions intended to survive, including Sections 5, 7, 8, 10, 12, 14, 15, 16, 17 and 18.
14. Limitation of liability
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) wilful misconduct; (d) gross negligence to the extent it cannot lawfully be excluded or limited; (e) a refund, compensation or other remedy required by a mandatory statutory right or obligation; or (f) any other liability to the extent its exclusion or limitation is prohibited by applicable law.
Subject to the previous paragraph and to the maximum extent permitted by applicable law, no Protected Party is liable for any indirect, incidental, special, exemplary, punitive or consequential loss, or for loss of profit, revenue, business opportunity, goodwill, anticipated savings or data, whether the claim arises in contract, tort (including negligence), statute or otherwise and whether or not the possibility of that loss was disclosed.
Subject to the first paragraph, no Protected Party is liable for loss solely caused by a third-party protocol, wallet, token, validator, node, oracle, bridge, venue or other service, or by network congestion, reorganisation, fork, exploit or unauthorised third-party conduct outside that Protected Party’s reasonable control. This exclusion does not apply to the extent a Protected Party’s breach of a legal duty, negligence or unlawful act materially contributed to the loss.
Subject to the first paragraph, the total aggregate liability of all Protected Parties together for all claims arising from the same event or series of connected events is limited to the greater of: (a) the Mandala Fees attributable to your use of the Interface during the 12 months immediately before the earliest such event; and (b) US$1,000. A Mandala Fee collected in a token will be valued in United States dollars at the time it was collected using the reasonable, consistently applied market-price source that we use for the Interface's own price display. This is one aggregate cap for that event or connected series, not a separate cap for each claim, Protected Party or legal theory.
These exclusions and limitations apply only to the extent they are fair, reasonable and enforceable in the circumstances. Whether you have mandatory consumer or other statutory rights is determined by applicable law. These Terms do not waive any right or remedy that cannot lawfully be waived and do not limit a regulator’s powers or liability owed to a governmental authority.
15. Indemnity
If you are a Business User, you will indemnify the Protected Parties against third-party claims, losses, liabilities, penalties, damages and reasonable professional costs to the extent arising from: (a) your material breach of these Terms; (b) your unlawful use of the Interface; or (c) a token or content you create, submit, offer or promote, including a claim that it infringes another person’s intellectual-property, privacy or publicity rights. This indemnity does not apply to the extent the relevant loss was caused by a Protected Party’s negligence, breach of a legal duty, wilful misconduct or unlawful act.
If you are a Consumer, this Section applies only to the extent permitted by mandatory law and does not require you to indemnify a Protected Party against its own breach, negligence, wilful misconduct or unlawful act.
We must give prompt notice of an indemnified claim, permit you to participate reasonably in its defence, and not settle it on terms that admit wrongdoing by or impose a non-monetary obligation on you without your consent, not to be unreasonably withheld. Failure to give prompt notice reduces the indemnity only to the extent it materially prejudices the defence.
16. User-created tokens and content: dormant until launchpad activation
This Section 16 does not open, advertise or promise access to a launchpad. The launchpad is currently closed. No person has a right to create, offer or sell a token through the Interface. Sections 16.1 to 16.9 become operative only if and when the Operator lawfully opens the relevant feature, approves the Creator under its then-current onboarding process, presents separate Issuer Terms, and the Creator validly accepts those Issuer Terms. Until all four conditions are met, any visible or deployed contract function is unavailable through the Interface and must not be treated as an invitation, offer or approval.
16.1 Additional Issuer Terms
If activated, token creation, an offer or sale, and any launchpad feature will be available only to a Creator approved under the Operator’s then-current onboarding process and will also be governed by separate Issuer Terms. Technical access is not legal approval of a token or offering. If these Terms conflict with the Issuer Terms for a launch, the Issuer Terms prevail for that launch.
16.2 Creator responsibility
A person who creates, submits, offers, promotes or administers a token or related content through an activated feature is a “Creator.” A Creator is contractually responsible for the token and all associated names, symbols, descriptions, claims, images, links, websites, documents, metadata, communications and other material (“Creator Content”). The Creator is responsible for the token’s design, code, supply, allocation, rights, economics, disclosures, tax treatment, marketing, sale, use of proceeds, liquidity arrangements and continuing legal compliance.
This contractual allocation does not determine regulatory status. Applicable law may independently treat the Operator, Foundation or another person as an issuer, promoter, offeror, arranger, dealer, broker or other intermediary.
16.3 No review, endorsement or assurance
Creation, display, allowlisting, technical review, audit status or availability through the Interface does not mean that a Protected Party has sponsored, endorsed, recommended, verified or legally approved the token, Creator, Creator Content, value, quality, security, liquidity or likely performance. A smart-contract audit is not legal, financial or commercial approval. No Protected Party guarantees that a token can be bought, sold, used or redeemed, or that a market or liquidity will exist.
16.4 Creator warranties
Each time a Creator submits Creator Content or uses an activated launchpad feature, the Creator represents and warrants that:
- it has full authority to act for the issuer and to create, offer, promote and administer the token;
- it owns or holds all licences, consents and permissions needed for the Creator Content and its use under these Terms, and the Creator Content does not infringe intellectual-property, privacy, publicity or other rights;
- the Creator Content and all statements to users are accurate, complete in all material respects, capable of substantiation, and not false, deceptive or misleading by statement or omission;
- the token, offer, sale, marketing, distribution, proceeds, liquidity arrangements and the Creator’s activities comply with all applicable securities, financial-services, virtual-asset, payments, consumer, advertising, anti-money-laundering and counter-terrorist-financing, sanctions, tax, data-protection and other laws in every relevant jurisdiction;
- it has obtained all legal opinions, registrations, licences, approvals, white papers, disclosures and customer or investor checks required for the launch and will provide them to the Operator on request;
- neither the Creator, an issuer, a beneficial owner, controlling person, treasury wallet nor intended recipient of proceeds is a Restricted Person, and the launch will not involve a Restricted Territory or evade a restriction;
- the token and Creator Content do not contain malicious code; facilitate fraud, wash trading, artificial volume or pricing, undisclosed paid promotion, market manipulation, evasion or unlawful activity; impersonate another person or project; or use a confusingly similar name, symbol or branding;
- it has prominently and accurately disclosed all material matters, including supply and allocations, related-party holdings, vesting and lockups, mint, pause, freeze, blacklist, upgrade and other administrative powers, fees, liquidity arrangements, dependencies, audit scope, known risks and conflicts;
- it will not place personal data, confidential information or unlawful material in a public or effectively immutable record without a valid legal basis and every required notice and consent; and
- it will promptly correct materially inaccurate Creator Content and notify the Operator of any investigation, complaint, exploit, loss of authority or change that could make these warranties untrue.
16.5 Licence to Creator Content
The Creator retains ownership of Creator Content. It grants the Operator and the Operator’s contracted service providers a worldwide, non-exclusive, royalty-free and sublicensable licence to host, cache, reproduce, format, technically adapt, transmit and display Creator Content only as reasonably necessary to operate, secure and administer the activated feature, identify the token as available through the Interface, comply with law and exercise rights under these Terms and the Issuer Terms. The licence lasts while the Creator Content is available through the Interface and afterwards only to the extent reasonably required for legal records, security, backups and material that cannot technically be removed from a public blockchain or distributed storage system. Separate promotional use requires separate permission.
16.6 Moderation and removal
The Operator may refuse, suspend, label, restrict or remove a token or Creator Content from the Interface where it reasonably considers the material unlawful, misleading, infringing, unsafe, inconsistent with these Terms or harmful to users or Mandala. It may preserve and disclose material where law permits or requires. Where required by law, the Operator will give reasons and provide an appropriate review or complaint mechanism. The Operator is not obliged to monitor every token or item of Creator Content. Removing material from the Interface does not remove or alter data or code already recorded on a public blockchain, and the Operator does not promise that such removal is technically possible.
16.7 Rights complaints
A person who believes Creator Content infringes their rights may send a notice by a private message to the Mandala team through the official Mandala channels: Discord (https://discord.gg/MwUQgQZgxm), X (https://x.com/MandalaChain) or Telegram (https://t.me/mandalachain). Ask for a private channel before sharing any personal details, identifying the right, specific material and location, basis of the complaint and their contact details, with a good-faith statement that the notice is accurate. We may request supporting evidence, forward the notice to the Creator and take action under Section 16.6. The Creator must cooperate with a reasonable investigation and provide evidence of its rights on request.
16.8 Users dealing with created tokens
If an activated feature allows you to acquire or interact with a user-created token, you do so on your own decision and risk. Conduct your own legal, technical and financial assessment. Information supplied by a Creator is that Creator’s information, not the Operator’s or Foundation’s. Do not treat availability through the Interface as due diligence, a recommendation or an assurance of lawfulness, value, security or liquidity.
16.9 Creator indemnity
Without limiting Section 15, a Creator that is a Business User will indemnify the Protected Parties against third-party claims and regulatory proceedings, and resulting losses and reasonable professional costs, to the extent arising from the token, Creator Content, launch, offer, sale, marketing, use of proceeds, alleged infringement, or the Creator’s breach of this Section 16. The defence and fault-allocation provisions in Section 15 apply.
17. Changes to these Terms, governing law and disputes
17.1 Changes
We may amend these Terms prospectively. We will identify the effective date and give notice through the Interface or another appropriate channel. If a change is material, we will ask you to accept the revised Terms before further use, except where an immediate change is reasonably necessary to comply with law or address an urgent security risk. A change does not alter a transaction already confirmed or a claim that arose before the change became effective.
17.2 Informal notice
Before starting formal proceedings, a party should send written notice describing the dispute and requested resolution by a private message to the Mandala team through the official Mandala channels: Discord (https://discord.gg/MwUQgQZgxm), X (https://x.com/MandalaChain) or Telegram (https://t.me/mandalachain). Ask for a private channel before sharing any personal details. We will provide an address for formal service on request. The parties will try in good faith to resolve the dispute for 30 days. This does not prevent urgent interim relief or a filing needed to preserve a limitation period.
17.3 Governing law
These Terms and any non-contractual obligations arising from them are governed by the laws of the Republic of Panama, without regard to conflict-of-laws rules. If you are a Consumer, this choice does not deprive you of mandatory protections provided by the law of your habitual residence or another law that cannot validly be excluded.
17.4 Consumers
If you are a Consumer, you may bring a claim in any court or before any regulator, ombudsman or dispute body that mandatory law makes available to you. These Terms do not require a Consumer to arbitrate a dispute and do not waive a non-waivable right to participate in a collective, representative or class proceeding. After a dispute has arisen, you and the Operator may separately agree in writing to arbitrate it.
17.5 Business Users: ICC arbitration
If you are a Business User, all disputes arising out of or in connection with these Terms, including a dispute about their existence, validity, interpretation, performance, breach or termination or any related non-contractual obligation, will be finally settled under the Rules of Arbitration of the International Chamber of Commerce (“ICC Rules”) by one arbitrator appointed in accordance with the ICC Rules. The seat, or legal place, of arbitration is Panama City, Republic of Panama. The language of the arbitration is English. The law governing this arbitration agreement is the law of the Republic of Panama.
17.6 Business Users: individual proceedings
A Business User and the Operator will bring claims only in their individual capacities. To the extent permitted by law, the tribunal may not hear or determine a class, collective, consolidated or representative claim or consolidate proceedings without every affected party’s written consent. If this paragraph is invalid for a particular claim, that claim must be severed and determined by a court of competent jurisdiction; the remainder of this Section continues to apply.
17.7 Interim and non-arbitrable matters
A party may seek urgent interim or conservatory relief from an emergency arbitrator, the arbitral tribunal or a court of competent jurisdiction without waiving arbitration. A matter that cannot lawfully be arbitrated may be brought in the competent courts of Panama City, Republic of Panama, except where mandatory law gives a Consumer or another person a right to proceed elsewhere.
18. General
18.1 Notices
We may give notices through the Interface, by posting at the relevant website or, where we hold appropriate contact details, by sending them to you. Legal notices to the Operator must be sent by a private message to the Mandala team through the official Mandala channels: Discord (https://discord.gg/MwUQgQZgxm), X (https://x.com/MandalaChain) or Telegram (https://t.me/mandalachain). Ask for a private channel before sharing any personal details. We will provide an address for formal service on request.
18.2 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms as part of a merger, reorganisation, sale of the Interface business or transfer to an Affiliate, provided that the assignment does not reduce a Consumer’s mandatory rights. We will give appropriate notice of an assignment that changes your contracting party.
18.3 No waiver
A failure or delay in exercising a right is not a waiver. A waiver is effective only if in writing and only for the matter for which it is given.
18.4 Severability
If a provision is invalid or unenforceable for a particular person or circumstance, it will be applied to the maximum extent permitted and severed only to the minimum extent necessary. The remaining provisions continue in effect.
18.5 Entire agreement and order of precedence
These Terms, the documents expressly incorporated by reference and any applicable Issuer Terms form the agreement concerning the Interface. They supersede prior statements about that subject, but do not exclude liability for fraud or override a mandatory right. If an Interface-specific disclosure conflicts with these Terms, these Terms prevail unless the disclosure expressly states that it amends an identified provision and you validly accept the amendment. Issuer Terms prevail for an approved launch as stated in Section 16.1.
18.6 Protected Parties
To the extent applicable law permits, each person within the definition of Protected Parties may rely on and invoke as a defence any exclusion, limitation or other protection that expressly applies to that person. No such protection makes that person a party to these Terms, and the Operator and you may amend or terminate these Terms without that person’s consent.
18.7 Contact
Questions about these Terms may be sent to:
MANDALA CHAIN INC.
Republic of Panama
Contact: the official Mandala channels: Discord (https://discord.gg/MwUQgQZgxm), X (https://x.com/MandalaChain) or Telegram (https://t.me/mandalachain).
Schedule 1. Restricted Territories
This Schedule forms part of these Terms. We may update it by publishing a new version.
Part A. Territories where providing the Interface is prohibited by Sanctions. Cuba; Iran; North Korea (DPRK); Crimea and the so-called Donetsk and Luhansk People’s Republics; and the non-government-controlled areas of the Kherson and Zaporizhzhia regions of Ukraine.
Part B. Territories we have chosen not to serve for legal, regulatory or risk reasons. Russia; Belarus; Syria; Myanmar; Afghanistan; Venezuela; Sudan; South Sudan; Yemen; Libya; Somalia; the Democratic Republic of the Congo; the Central African Republic; and Mali. Part B is our own risk decision and is not a statement that a comprehensive embargo applies to those territories.
Restricted Persons.
